Bankaktiebolaget Nordiska (publ) (”Nordiska” or the ”Company”) has mandated ABG Sundal Collier AB to evaluate the possibility, by inter alia arranging investor meetings, to issue Additional Tier 1 bonds in an expected volume of SEK 200,000,000 (the “AT1 Bonds”). The AT1 bonds will have perpetual maturity and will carry a floating rate interest. The issuer will have first call option after minimum 5 years, subject to approval by the Swedish Supervisory Authority.

The proceeds from the potential issue of the AT1 Bonds will be used to refinance the redemption of Nordiska's existing AT1 bonds with ISIN SE0015961537 (the "Existing AT1 Bonds") as well as to facilitate future growth and to optimize the capital structure of the Company. The issue is expected to occur in the near term, subject to favourable market conditions.

Conditional upon a successful issuance of new AT1 Bonds, the Existing AT1 Bonds will be redeemed on 1 July 2026 (the "Redemption Date"), at a price equal to 100.00 per cent of the nominal amount plus accrued but unpaid interest up to (and including) the Redemption Date. If the condition is satisfied, which will be confirmed by the Company in a separate press release, the redemption amount will be paid to each person registered as a holder of the Existing AT1 Bonds in the debt register maintained by Euroclear Sweden on the record date of 24 June 2026.

Gernandt & Danielsson Advokatbyrå KB has been engaged as legal adviser to the Company in connection with the redemption and the issuance.
