Bankaktiebolaget Nordiska (publ) (“Nordiska” or the “Company”) has successfully placed perpetual Additional Tier 1 (AT1) bonds in an amount of SEK 200 million with ISIN SE0029026111 and a first possible call date after five years (the “AT1 Bonds”). The AT1 Bonds will carry interest at a floating rate of 3-month STIBOR plus 625 basis points per annum. The issue date for the AT1 Bonds is expected to be 15 June 2026

As previously communicated, the proceeds from the issue of the AT1 Bonds will be used to refinance the redemption of Nordiska's existing AT1 bonds with ISIN SE0015961537 (the "Existing AT1 Bonds") as well as to facilitate future growth and to optimize the capital structure of the Company.

Unless otherwise communicated by the Company before 24 June 2026, being the record date for the redemption of the Existing AT1 Bonds, the Existing AT1 Bonds will be redeemed on 1 July 2026 (the "Redemption Date"), at a price equal to 100.00 per cent of the nominal amount plus accrued but unpaid interest up to (and including) the Redemption Date. The redemption amount will be paid to each person registered as a holder of the Existing AT1 Bonds in the debt register maintained by Euroclear Sweden on the record date of 24 June 2026.

ABG Sundal Collier AB acted as sole bookrunner in connection with the redemption and the issuance, and Gernandt & Danielsson Advokatbyrå KB acted as legal adviser.
